In compliance with sections 3.63 to 3.65 of the JSE Listings Requirements the   
information in the table below is disclosed in relation to the issue of shares  
to entities in which the directors of Buildmax and/or of its major subsidiaries 
are beneficially interested.                                                    
The shares in question:                                                         
were issued as part of the deferred consideration payable by Buildmax for the   
acquisition of Black Ginger 372 (Pty) Ltd and Hollyberry Props 41 (Pty) Ltd as  
more fully detailed in Buildmax's revised listing particulars dated 5 March 2008
("RLP"); and                                                                    
were taken into account for the purposes of the forecast for the 12 months
